AMSHA NEXT GEN PRIVATE LIMITED

These Terms & Conditions ("Terms") govern the access and use of the mobile application, website, WhatsApp services, software systems, field operations, and related services operated by AMSHA NEXT GEN PRIVATE LIMITED ("AMSHA", "Company", "we", "our", or "us").

By accessing, registering on, browsing, or using the Platform, you agree to be legally bound by these Terms.

If you do not agree with these Terms, you must discontinue use of the Platform immediately.

1. Definitions

  • "Platform" refers to the AMSHA application, website, software systems, APIs, WhatsApp communication systems, field operations, and related digital services.
  • "User" refers to any individual or entity using the Platform.
  • "Farmer" refers to any person or entity seeking agricultural services, labour, machinery, materials, or related support.
  • "Service Provider" includes labour suppliers, workers, machine owners, drone operators, transport providers, material suppliers, field officers, or other agricultural ecosystem participants.
  • "Booking" refers to any confirmed request, order, deployment, reservation, or transaction facilitated through AMSHA.
  • "Services" refers to all agricultural workforce, machinery, drone, material, logistics, marketplace, or operational coordination services facilitated through the Platform.

2. Platform Services

AMSHA operates as a technology-enabled agricultural services and commerce platform facilitating various agriculture-related services including but not limited to:

  • Agricultural labour supply and workforce coordination
  • Skilled and unskilled worker deployment
  • Farm machinery rentals and equipment services
  • Drone spraying and precision agriculture services
  • Agricultural input and material supply
  • Harvesting and post-harvest operations
  • Transportation and logistics coordination
  • Field operational support
  • Farm service aggregation
  • Market linkage services
  • Agri-financing and insurance integrations through third-party partners
  • Digital agriculture services and operational management

The Platform may connect:

  • Farmers
  • Labour suppliers
  • Workers
  • Machinery owners
  • Drone operators
  • Material suppliers
  • Transport providers
  • Field officers
  • Demand partners
  • Other third-party service providers

3. Nature of Relationship

AMSHA acts solely as:

  • A technology platform,
  • Marketplace facilitator,
  • Service aggregator,
  • Operational coordinator, and/or
  • Booking facilitator.

Unless expressly agreed in writing, AMSHA is NOT:

  • The employer of workers,
  • Owner of all listed machinery,
  • Manufacturer of materials,
  • Agricultural contractor,
  • Farm operator,
  • Financial institution,
  • Insurance company,
  • Crop guarantor,
  • Logistics carrier,
  • Wage guarantor.

All Users and Service Providers operate independently and remain solely responsible for their conduct, legal compliance, services, pricing, safety, and obligations.

4. Eligibility

To use the Platform, Users must:

  • Be at least 18 years old,
  • Have legal capacity to enter binding agreements,
  • Provide accurate and complete information,
  • Use the Platform only for lawful purposes.

AMSHA reserves the right to suspend or reject registrations at its sole discretion.

5. Bookings & Orders

Bookings may include:

  • Labour deployment,
  • Machinery rental,
  • Drone services,
  • Material supply,
  • Transportation,
  • Operational services,
  • Other agricultural services.

Bookings may be initiated through:

  • The Platform,
  • WhatsApp,
  • Phone calls,
  • Field officers,
  • Demand partners,
  • Authorized AMSHA representatives.

A booking is considered confirmed once accepted by AMSHA or the relevant Service Provider.

AMSHA reserves the right to reject bookings, modify schedules, reallocate resources, or cancel bookings due to operational constraints, weather conditions, safety concerns, or non-availability.

6. Pricing & Payments

Pricing communicated through AMSHA may include:

  • Labour charges, Machinery rental fees, Material costs,
  • Drone operation charges, Transportation costs,
  • Coordination fees, Platform fees,
  • Taxes and statutory charges.

Pricing may vary depending on region, seasonal demand, availability, duration, quantity, skill requirements, operational complexity, and market conditions.

Users agree to make timely payments as instructed by AMSHA.

AMSHA reserves the right to hold payments, delay settlements, adjust payouts, recover dues, or deduct operational charges where necessary for dispute resolution, fraud prevention, operational losses, cancellations, or damages.

7. Work Completion & Payment Release

Payments may be processed only after work completion, delivery confirmation, service execution verification, or booking closure confirmation.

Confirmation may be obtained from Farmers, Workers, Labour suppliers, Machine owners, Drone operators, Field officers, or Authorized representatives.

AMSHA may rely on GPS records, call logs, attendance records, app activity, photos/videos, digital acknowledgements, field verification, and operational reports for validation and dispute resolution purposes.

In the event of disputes, AMSHA may temporarily withhold settlements pending review. AMSHA's operational findings and records may be considered final for settlement processing decisions.

8. User Responsibilities

Users agree to:

  • Provide accurate booking information,
  • Maintain lawful conduct,
  • Cooperate during operations,
  • Ensure safe working environments,
  • Honour agreed commitments,
  • Avoid fraudulent or abusive practices.

Users shall not:

  • Misrepresent services,
  • Use fake identities,
  • Circumvent Platform processes,
  • Harass workers or staff,
  • Manipulate payments,
  • Engage in unlawful conduct.

9. Service Provider Responsibilities

Service Providers agree to provide accurate service details, maintain lawful licenses and permits, follow safety standards, perform services responsibly, and avoid abandonment or misconduct.

Repeated complaints, fraud, no-shows, unsafe conduct, or operational failures may result in suspension or permanent removal from the Platform.

10. Cancellations & No-Shows

AMSHA may impose cancellation charges, operational recovery fees, transportation recovery charges, or resource blocking charges where bookings are cancelled after operational preparation has begun.

If workers, operators, suppliers, or providers fail to report without valid reason, AMSHA may reduce payouts, suspend accounts, or recover operational losses.

11. Third-Party Services Disclaimer

The Platform may facilitate services provided by third parties including machinery providers, drone operators, material suppliers, logistics companies, financial institutions, insurance providers, and other partners.

AMSHA does not independently guarantee: product quality, machinery uptime, spray effectiveness, delivery timelines, crop outcomes, financial approvals, insurance claims, or third-party performance.

Users engage with third-party services at their own risk.

12. Communication Consent

By using the Platform, Users consent to receive calls, SMS, WhatsApp messages, emails, push notifications, and automated communication related to bookings, payments, operations, promotions, customer support, service updates, and account activities.

Users authorize AMSHA to contact them using registered contact details.

13. Data & Privacy

AMSHA may collect, store, process, and use personal information, location data, device information, communication records, operational records, and transaction details for platform operations, analytics, fraud prevention, customer support, service optimization, and legal compliance.

Users consent to such collection and processing.

14. Intellectual Property

All intellectual property related to the Platform including software, branding, logos, designs, databases, operational systems, and content shall remain the exclusive property of AMSHA NEXT GEN PRIVATE LIMITED.

Unauthorized copying, reproduction, or misuse is strictly prohibited.

15. Disclaimer of Warranties

The Platform and Services are provided on an "AS IS" and "AS AVAILABLE" basis.

AMSHA makes no warranties regarding service availability, accuracy, reliability, suitability, performance, agricultural outcomes, profitability, or uninterrupted access.

16. Limitation of Liability

To the fullest extent permitted by law, AMSHA shall not be liable for:

  • Crop losses, yield reduction, weather impacts,
  • Service delays, machinery failures, material quality disputes,
  • Worker misconduct, injuries, death, theft,
  • Operational losses, business interruption,
  • Indirect or consequential damages.

AMSHA's total liability shall not exceed the amount directly paid to AMSHA for the specific disputed transaction.

17. Indemnity

Users agree to indemnify and hold harmless AMSHA, its directors, employees, affiliates, officers, and partners from any claims, losses, liabilities, damages, costs, or legal expenses arising from user conduct, service disputes, legal violations, negligence, misrepresentation, or operational incidents.

18. Suspension & Termination

AMSHA may suspend, restrict, or terminate access without notice for fraud, misconduct, legal violations, safety concerns, payment defaults, platform misuse, or operational risks.

Users may discontinue use of the Platform at any time.

19. Force Majeure

AMSHA shall not be liable for delays or failures caused by events beyond reasonable control including weather conditions, floods, droughts, pandemics, government restrictions, strikes, network failures, natural disasters, or civil disturbances.

20. Governing Law & Jurisdiction

These Terms shall be governed by the laws of India.

All disputes shall be subject to the exclusive jurisdiction of courts located in Bengaluru, Karnataka, India.

21. Dispute Resolution & Arbitration

Any disputes arising from these Terms shall first be attempted to be resolved amicably.

Failing resolution, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996.

  • Seat of Arbitration: Bengaluru, Karnataka
  • Language: English
  • Arbitrator: Sole arbitrator appointed by AMSHA

The arbitral award shall be final and binding.

22. Modifications

AMSHA reserves the right to modify these Terms at any time. Updated Terms shall become effective upon publication on the Platform. Continued use of the Platform constitutes acceptance of revised Terms.
